Affiliate Program Terms

These Affiliate Program Terms (the “Affiliate Terms”) form a binding agreement between PestMetry (“PestMetry,” “we,” “us,” or “our”) and any individual or entity that enrolls in the PestMetry Affiliate Program (each an “Affiliate,” “you,” or “your”). By enrolling in the program, generating a referral link, or accepting a payout, you agree to be bound by these Affiliate Terms together with our Terms of Service, Privacy Policy, and Acceptable Use Policy.

1. Eligibility

You must be at least 18 years old and legally able to enter into a contract. You must provide accurate contact, payout, and tax information and keep it current. We may reject or terminate any application at our sole discretion, including for affiliates whose promotional channels or audience are inconsistent with our brand, our Acceptable Use Policy, or applicable law.

2. Commission Structure

PestMetry pays a recurring commission of twenty percent (20%) of net paid subscription revenue for each qualifying customer you refer, for a period of twelve (12) months from that customer’s first successful paid invoice. Commissions apply to standard Starter, Professional, and Enterprise subscription revenue and exclude taxes, refunds, chargebacks, credits, discounts, one-time setup fees, professional services, third-party pass-through charges, and amounts written off as uncollectible. PestMetry may change commission rates, duration, or eligible products for new referrals on a going-forward basis with reasonable notice; commissions already accrued are unaffected.

3. Attribution Window

Referrals are tracked using a first-party cookie (pm_ref) placed when a prospect first visits PestMetry through your referral link. Attribution is credited to the affiliate whose cookie is present at the time the prospect creates a PestMetry organization, for up to thirty (30) days after the first click. When multiple affiliate cookies are present, the most recent valid cookie wins (last-click). Only one affiliate may be credited per referred organization, and attribution is final once an organization is created.

4. Payouts & Minimums

Commissions become pending when the underlying invoice is successfully paid and automatically transition to approved after a thirty (30) day maturity period. Approved commissions are eligible for payout once your unpaid balance reaches your configured minimum payout threshold (default $50 USD) and your tax documentation is verified. Payouts are issued in U.S. dollars via the payout method you configure in your affiliate dashboard. You are responsible for any transaction fees charged by your chosen payout processor.

5. Refunds, Chargebacks & Clawbacks

If a referred customer receives a refund, files a chargeback, disputes a payment, or their account is terminated for fraud or abuse, the corresponding commission will be voided or clawed back from your balance. If a clawback occurs after a payout has already been issued, the offsetting amount will be deducted from your next payout.

6. Prohibited Practices

You may not, directly or indirectly:

• Refer yourself, family members, or accounts you control.
• Bid on the PestMetry brand or trademarks (including common misspellings) in paid search, display, or social advertising.
• Register domain names, social handles, or app-store listings containing “PestMetry” or confusingly similar variants.
• Offer unauthorized rebates, cash-back, coupons, or incentives to induce signups.
• Use spam, unsolicited email, misleading claims, deceptive comparisons, or any traffic sourced from bots, click farms, or malware.
• Copy PestMetry marketing materials without attribution or misrepresent your relationship with PestMetry (you are an independent contractor, not an employee, agent, joint venturer, or partner).
• Violate our Acceptable Use Policy or any applicable law, including the FTC endorsement guides, GDPR/CCPA privacy obligations, and anti-spam laws (CAN-SPAM, CASL).

Violations may result in immediate suspension, forfeiture of pending and approved commissions, and termination of your affiliate account without prior notice.

7. Disclosures

When promoting PestMetry, you must clearly and conspicuously disclose your material connection to PestMetry in accordance with the FTC’s “Guides Concerning the Use of Endorsements and Testimonials in Advertising” and equivalent local rules. A simple disclosure such as “affiliate link” or “I may earn a commission” is required on any content containing your referral link.

8. Trademarks & Content

We grant you a limited, non-exclusive, non-transferable, revocable license to display the PestMetry name, logo, and approved marketing assets solely to promote PestMetry in accordance with these Affiliate Terms and any brand guidelines we publish. You may not modify our marks, imply endorsement of your own products, or suggest that PestMetry has reviewed or approved content that we have not reviewed. All rights not expressly granted are reserved.

9. Taxes

You are solely responsible for any income, self-employment, sales, VAT, GST, or other taxes imposed on commissions paid to you. Before your first payout, you must submit a valid W-9 (U.S. persons) or W-8BEN / W-8BEN-E (non-U.S. persons) through your affiliate dashboard. PestMetry may withhold payouts pending receipt and verification of required tax documentation and may issue an IRS Form 1099-NEC (or foreign equivalent) as required by law.

10. Confidentiality

Non-public information you receive about PestMetry, our customers, referral activity, commissions, and roadmap is confidential. You may not disclose or use such information other than to perform under these Affiliate Terms.

11. Term & Termination

Either party may terminate participation in the Affiliate Program at any time, with or without cause, upon written notice (email is sufficient). Upon termination, your referral link will be disabled and no new referrals will be attributed to you. We will pay any earned, approved, non-clawed-back commissions that satisfy the minimum payout threshold and tax-documentation requirements within ninety (90) days of termination, subject to Sections 5 and 6. Any commissions accrued through activity that violated these Affiliate Terms are forfeit.

12. Disclaimers & Limitation of Liability

The Affiliate Program is provided “as is” and “as available.” We disclaim all warranties, express or implied, to the fullest extent permitted by law. To the maximum extent permitted by law, PestMetry’s aggregate liability arising out of or relating to these Affiliate Terms will not exceed the total commissions paid or payable to you in the twelve (12) months preceding the event giving rise to the claim.

13. Modifications

We may amend these Affiliate Terms at any time by posting an updated version at this URL. Material changes will be communicated by email or in your affiliate dashboard at least fourteen (14) days before they take effect. Your continued participation after the effective date constitutes acceptance of the updated Affiliate Terms.

14. Governing Law

These Affiliate Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising from or related to these Affiliate Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
